Scope Working under the supervision of a senior counsel, this position enhances attorney effectiveness by providing contract review, claims, litigation support and company secretarial support. Principal Job Duties & Responsibilities Review, draft and negotiation of commercial agreements, NDA's, services, supply and/or purchase agreements, licensing agreements and other contracts of low to moderate complexity in support of the business. Summarize and communicate key contract terms and other legal documents to managers in the business. Provide research, opinions, and advice concerning legal rights, remedies, and obligations of the company and its subsidiaries. Prepare and review documents related to general corporate and litigation. Review documents related to company secretarial matters and provide direction. Draft correspondence and assure communication and timely responses to and from outside attorneys, company staff, and insurance carriers. Research and analysis of law, preparation of briefs, and assist with strategy development. Draft original documents for negotiations of low to moderate complexity. Develop standard documents. Act as a company representative when requested. Prepare draft documents and complete the necessary forms for company filings, procedural compliance, licensing, recording, and other official actions for domestic and foreign operations. Perform legal research and verification by specific assignment from attorneys. Analyze and make independent recommendations regarding solutions to problems with low to moderate complexity in accordance with organization and/or project objectives and guidelines. Organize and prioritize a variety of projects and multiple tasks in an effective and timely manner, set priorities. Plan and organize own work assignments, as well as carry out tasks from management staff. Maintain compliance with all applicable policies, procedures, and global standards. Adhere to and support Fluor's Health, Safety & Environmental and Sustainability Policies. Effectively develop and apply the Core Skills to the job. May need to travel to attend to business related matters. Internal document Management and Record Keeping, filing all e -documents on legal share drive. Preferred Qualifications Experience working in either private practice or corporate or government environment. Applicable license(s) and registration(s) in area of specialty or discipline. Outstanding project management, organizational, and critical thinking skills. Excellent communication and writing skills. Highly organized, detail oriented, with strong ability to prioritize. Demonstrated experience in a broad range of substantive legal and business areas. Flexibility, versatility and ability to deal with multiple issues, priorities, and personnel is expected and required. Capacity to collaborate with others and outstanding time-management abilities are essential. Demonstrated ability to work with outside counsel and deal with internal clients at many different levels within an organization. Proficient in the use of computers to include the use of word processing, e-mail, spreadsheets, and electronic presentation programs.
