This role will provide legal, commercial and risk management support to the Dematic Business as a key internal business partner and advisor. The focus of this role will be in the areas of commercial and contract law, construction law as it relates to project and services provided by Dematic in the intralogistics industry, as well as the provision of legal advice more generally to the business inclusive of matters relating to corporate governance, claims and litigation and compliance. The incumbent will be required to draft and support the business in negotiating a broad range of contracts for the Dematic business operations in the UK, Ireland and Scandinavia.
Overview
Dematic is seeking a Legal Counsel to support the UK, Ireland and Scandinavia regions with commercial, contract, governance and compliance matters as well as risk management and advisory services to business teams.
Responsibilities
* Proactively promote and practice effective and professional legal advice for Dematic UK’s business activities and service offerings.
* Support pre-contractual legal considerations such as review and analysis of ITTs/RFQs and provide ad hoc strategic advice to sales, procurement and/or execution teams.
* Draft and negotiate contracts, variations, and related documents in conjunction with senior management.
* Advise the business on contract compliance, contract awareness, change management and related matters.
* Support Corporate Governance and Compliance matters as required.
* Liaise with other specialists or external advisors as needed.
* Ensure pass-through of contractual positions and risks to suppliers/subcontractors where possible; assist procurement teams accordingly.
* Engage with business teams to ensure legal/commercial outputs comply with Dematic policies.
* Attend contractual meetings with customers and coordinate with purchasing on supply contracts prior to closing.
* Ensure contract templates remain up to date with new legal developments and best practices.
* Support other Legal Counsel and European/Group Legal on contentious and non-contentious matters when appropriate.
Risk, Financial and Compliance Management
* Ensure contracts are administered in line with Dematic policies and that insurance commitments are reflected in business contracts.
* Assist with ad hoc financial duties and liaise with Treasury regarding credit security matters.
Qualifications & Experience
* Degree in law
* Solicitor or equivalent, admitted in a common law jurisdiction; additional European/Civil Law qualification is a plus.
* Demonstrates comprehensive knowledge in the field and the ability to complete complex assignments.
* Advanced knowledge of contract practices and procedures relevant to commercial and construction law.
* Broad knowledge of organizational business practices and issues; contributes to regional management support.
* Proven track record in commercial legal work; private practice experience is a plus.
* Thorough legal drafting and strong negotiation skills with business-driven advisory capabilities.
* Deep knowledge of standard form engineering contracts (e.g., MF/1 and FIDIC).
* Several years of commercial experience, particularly in negotiating construction-related contracts is a plus.
* Language skills: English native/advanced; additional languages are a plus.
