Centrica’s Group M&A team leads the origination and execution of M&A activity for Centrica plc. Supported by our strong balance sheet, M&A is an integral part of our growth strategy and we are seeking to deploy significant cash towards value adding inorganic growth in our core markets.
The Group M&A team also maintains regular dialogue with a broad range of market participants to gather intelligence and identify potential business development opportunities. It is a highly regarded team within Centrica and is often a sounding board for Executive Management and Business Units evaluating strategic options.
What You'll Be Doing:
Working flexibly and based in our Windsor office the M&A Manager will be responsible for the following:
1. Working with senior team members, Business Units and Group Strategy to identify and analyse potential M&A opportunities to help build pipeline
2. Evaluation and execution of M&A transactions undertaken by Centrica plc including buy-side transactions, sell-side transactions, joint ventures and partnerships
3. Day to day project management of complex M&A/corporate finance transactions including leading junior colleagues and interacting across Business Units, Corporate Centre functions and external advisers and counterparties
4. Building from first principles complex financial models for valuing assets and financial impact analysis
5. Undertaking complex financial analysis including valuation (DCF; comparable companies; comparable transactions etc.), cash flow analysis, credit analysis and other similar analyses
6. Focusing on key issues arising from due diligence and the financial and commercial aspects of documentation (such as purchase price adjustments)
7. Contributing to creative solutions for M&A and corporate finance transactions undertaken by Centrica plc
8. Preparing internal presentations and memos for the Group Board, senior team members, senior executives of Business Units and/or Centrica Group executives relating to transactions under consideration
9. Mentoring and training analysts in the M&A team
What We're Looking For:
10. Completed or be working towards a finance qualification such as ACA, ACCA, CIMA, CFA or equivalent
11. Experience of M&A/business development/corporate finance transactions, including both valuation and project execution elements
12. A strong grasp of corporate finance theory and practice
13. Experience in dealing with Senior Executives directly or their key team members (e.g. operational, commercial, financial, legal) in relation to M&A/corporate finance transactions and in a highly confidential environment
14. Ability to build from first principles complex financial models for valuing assets and financial impact analysis
15. A high intellectual capability with a growth mindset as well as an ability to assess large volumes of complex information in order to develop concise, commercially based arguments to convince senior executives and colleagues in relation to M&A/corporate finance transactions
16. Advanced Excel and PowerPoint skills
17. Strong organisational and project management skills, a proven ability to multi-task and excellent team working skills
18. The ability to operate independently, identify goals, define outcomes and drive delivery in a fast-paced and quickly evolving working environment
19. Team player with strong communication skills, adept in building relationships across different stakeholder groups
20. A willingness to learn about energy & utility markets and capital markets
