We are seeking a talented and driven Leverage Finance Associate to join our dynamic team in London. This is a fantastic opportunity to work with a top-tier financial institution / law firm (adjust as appropriate) that handles sophisticated leveraged finance transactions, partnering with leading clients and sponsors across Europe. You will play a key role in all aspects of originate, execute and manage leveraged finance deals in a challenging, fast-paced environment.
Responsibilities
* Advise on and structure leveraged finance and acquisition finance transactions, including senior and mezzanine debt, unitranche facilities, PIK notes and other hybrid instruments.
* Draft, negotiate and review credit agreements, security documentation, intercreditor arrangements, guarantee and collateral documentation, and ancillary transaction agreements.
* Work closely with clients, sponsors, banks, co-lenders and internal stakeholders (e.g., corporate finance, tax, regulatory, risk) to drive the deal-process from inception to closing.
* Conduct legal and regulatory due diligence, review corporate, financial and security structures, and identify key risks.
* Provide advice on covenant packages, amortisation mechanics, event triggers, guarantee and asset security frameworks and restructuring considerations.
* Collaborate with senior associates and partners to develop business, cross-sell other services and assist in client relationship management.
* Mentor junior team members, support knowledge-sharing and contribute to a collaborative team environment.
Qualifications
* Qualified solicitor (England & Wales) or qualified in another recognised jurisdiction with intention to qualify in England & Wales, with strong academic credentials.
* 2-5 years’ post-qualification experience (PQE) or relevant leveraged finance experience in a law firm or financial institution.
* Demonstrable experience across leveraged finance, acquisition finance or sponsor-led private equity transactions.
* Excellent drafting and negotiation skills; able to handle complex documentation with minimal supervision.
* Strong commercial awareness, analytical ability and attention to detail; comfortable working under pressure to meet tight deadlines.
* Excellent communication and interpersonal skills; able to build and maintain professional relationships with clients and internal stakeholders.
* Proactive, resourceful and a team-player with the ability to manage multiple matters concurrently and think critically.
* Fluent in English; additional European languages are a plus.
