As a member of the Board, NEDs work in partnership with the Chair, Chief Executive Officer, and co‑members to support employees in achieving the aims of Livewell Southwest and to optimise the relationship between the Board and staff. Using specialist skills, they participate in conversations that facilitate strategic decision‑making and uphold high standards of probity and governance.

Key Responsibilities
* Promote the vision, values and objectives of Livewell Southwest and actively develop the organisation’s strategy.
* Assist Director colleagues in setting strategic aims and ensuring necessary financial and human resources are in place; monitor performance.
* Ensure effective governance and achievement of quality of care and financial success.
* Promote a listening organisation attuned to the voices of people and carers.
* Work with Board colleagues in a supportive and constructively challenging manner, using specialist skills and independent judgement.
* Take part in the appointment of senior executive team and set remuneration through the Remuneration & Nomination Committee.
* Work with Board colleagues in setting and demonstrating agreed values and standards; balance obligations to stakeholders and community.
* Engage positively and collaboratively in Board discussions and act as ambassador in engagement with stakeholders.
* Actively participate and lead in relevant sub‑committees of the Board.
* Ensure the organisation values diversity and demonstrates equality of opportunity.
* Execute responsibilities of a company director according to lawful and ethical standards.
* Monitor performance of Senior Management & Executive Team and oversee statutory duties.
* Appoint, remove, support and encourage senior executives as appropriate.
* Obtain assurance that all quality and performance information is accurate and controls are robust.
* Bring independent judgement and experience based on commercial, financial, legal or governance expertise.
* Undertake 6 Non‑Executive Director service visits per year across the organisation.
Specialist Responsibilities
Each NED will be allocated one or more specific responsibilities or areas of interest, determined and agreed between the Chair and the post holder.
Person Specification
Essential
* Senior management experience within a comparable size and complex organisation with significant budget.
* Proven track record of working within communities and building successful partnerships and alliances.
* Experience of leading transformational change in complex systems, ideally in health, care or public service.
* High-level governance and organisational skills including strategic planning, financial management, risk management and performance management.
* Understanding of health service delivery and knowledge of the Plymouth community and its health needs.
