The role is primarily based in our Edinburgh office. We operate a hybrid working policy with the opportunity to work from home one day a week.

About the Role
We are looking for a Paralegal Associate to work closely with our Head of Legal and our Company Secretary to provide first class legal and governance support to Patria GPMS. The role will help to deliver effective, efficient, compliant and positive client outcomes and will have a broad remit and range of stakeholders across Investments, Legal, Finance, Operations, Product, Client Service as well as Patria’s central function and third parties.
The role reports to the Head of Legal in GPMS and, in respect of entity governance and company secretarial services, to the Company Secretary.
Key Responsibilities:
Legal
* Consider & review legal topics across Patria GPMS projects, transactions and regulatory requirements
* Assist in the review and negotiation of non-disclosure agreements and commercial contracts
* Support legal aspects of new product launches, including in relation to limited partnership agreements and fund structuring
* Support on product lifecycle events, including investor transfers and the drafting of LPA amendments and fund extensions, as well as amendment requests and consents sought by underlying portfolio managers
* Assist with the legal aspects of investment execution activity, including the execution of investor side letter agreements and with the completion and execution of subscription agreements for investments
* Assist in the coordination and management of external counsel
* Assist in the management of legal documents and related data
Governance and Company Secretarial
* Track and execute annual filings for all UK legal entities
* Support the establishment of new legal entities and liquidation of entities at the end of their lifecycle
* Support the maintenance of company books and records for global entities
* Maintain the golden source of legal entities and develop data governance processes
* Draft Board Meeting minutes and written resolutions
* Support the delivery of company secretarial services to two UK and US regulated management companies
* Support the delivery of company secretarial services to FTSE250 listed company
* Release RNS Announcements to the London Stock Exchange
* Oversee use of Atlas Governance System, Diligent Boardbooks and Docusign
* Liaise with overseas company secretarial service providers in jurisdictions including Cayman, Ireland, Luxembourg and Delaware
* Oversee the delivery of corporate insurances within GPMS

The role could equally suit a candidate with legal and / or governance qualifications.
