We are currently recruiting for an experienced Legal Counsel to join the team in London, reporting to the General Counsel. This is a broad, hands-on role within a small legal team that supports the business through the origination, development, structuring and financing of investment opportunities in clean energy, manufacturing, distribution and property development.
You will be involved in both debt and equity transactions for individual projects as well as Asset Green portfolio businesses. This involves providing legal support and oversight to the operations of the companies owned and managed by Asset Green.
The role is based in London but you will be working on UK and international investment opportunities. You will be asked to support on general commercial, corporate and financing matters as well key project agreements (EPC, O&M, offtake, insurance, international supply and procurement).
The role is ideally suited to a candidate keen to take on significant responsibility within a smaller team and to apply their existing legal knowledge to an expanding business. The successful candidate shall demonstrate a willingness to work within a team on legal and business issues they may not have directly experienced before.
Responsibilities
* Corporate/M&A transactions: share and business purchase agreements, shareholder agreements, joint venture agreements and ancillary documents;
* Project/debt finance: negotiating and completing non-recourse finance for projects originated by the business from greenfield stage through to being construction ready in the energy sector, as well as agri-food/industrial etc.
* Leading the legal aspects of our UK and international project development pipeline, including land agreements, regulatory matters, financing negotiations, etc
* Able to represent the organisation effectively toward senior external stakeholders including governments, sovereign wealth funds, investment banks, multi-nationals, construction/utility/energy sector businesses
* Responding to legal and contractual questions from the business development, commercial and finance teams;
* Managing the due diligence of investment opportunities including the appointment of external counsel;
* Supervision and oversight of junior colleagues, including technical oversight;
* Supporting on-going transactions including documentation management and delivery of legal completion deliverables;
* Company secretarial support for entities owned, operated or managed by Asset Green including internal and external company filings, management of corporate governance requirements and organization of board and shareholder meetings.
Role Requirements
* Ideally, 5+ years acting as counsel within a development or PE/investment environment, with particular preference for exposure to transactions, both equity and debt
* Strong work ethic, action orientated/able to take the initiative and able to deliver to a deadline
* Private capital experience would be considered highly advantageous
* Experience working in Emerging and OECD markets preferred, but not essential
* Exposure to contentious matters including litigation, arbitration etc
* Ability to deal confidently and build strong relations with senior business colleagues and third-parties;
* A flexible attitude and ability to multi-task;
* Strong written and verbal communication skills;
* Highly motivated, analytical and professional attitude; and
* Foreign languages will be an advantage
