Commercial / Legal Director
Our client are a leading global Investor with a variety of diverse global infrastructure investments. They now seek an experienced Commercial / Legal Director (or equivalent) to assist them with the management of one of their key infrastructure investments.
As Commercial / Legal Director you will provide both strategic direction and day-to-day management of the commercial operation of a high-profile infrastructure asset. This is a standalone role so will require the successful applicant to be willing to get involved with commercial contractual management of the asset on a day-to-day level.
Reporting into the CEO, the main responsibilities are:
* Act as the Commercial lead for the project investment board, identifying and reporting on all commercial issues to the board, shareholders and key stakeholders.
* Monitor key sub-contracts and the relationship with sub-contractors, reporting on performance to the board, identifying commercial risk and proposing mitigation as necessary.
* Ensure controls and processes are in place and operating effectively to protect the commercial interests of Project Co. This includes maximizing value, ensuring commercial obligations are met, identifying and managing risks, resolving disputes, establishing priorities and allocating appropriate resources.
* Lead the preparation, drafting and revision of all commercial documentation, contracts and agreements (with input from Legal advisors as required).
* Lead commercial meetings with key stakeholders, preparing monthly reporting and presenting findings to a wide range of interested parties.
* Manage liability claims from receipt through to settlement.
* Provide key input for loan draw-downs and utilisation, supporting the payment approval processes.
* Act as the Project Boards key interface with Legal Advisors.
Applicants will likely have a highly commercial contractual skill-set - comfortable with contractual legal negotiations with advisors and stake-holders. You will likely have a legal background (private practice or in-house in a commercial field) or have worked within a commercial finance, investment asset management, concessionaire or sponsor environment.
