Join to apply for the Charity Trustee role at University Hospitals Birmingham Charity. Trustees provide appropriate oversight, governance and leadership to the Charity in pursuit of its charitable purposes. A thorough induction and ongoing training and support are provided by the Chair and the rest of the Board.
Accountability
Trustees are accountable to members, beneficiaries, funders, UHBFT, the Charity Commission, Companies House and to the public. The Charity Governance Code requires trustees to be open and accountable for their actions and to take the lead on communications.
Statutory Duties
* A duty of trust, to act within their powers and to keep accounts
* A duty to comply with the Charity’s governing document
* A duty to act in the best interests of the Charity, current and future beneficiaries, and to promote the success of the Charity
* A duty to avoid conflicts of interest, declare any interest in a proposed transaction or agreement, to not accept benefits from third parties and to not benefit from their position
* A duty to safeguard assets and exercise reasonable care, skill and diligence
* A duty to act personally and exercise independent judgement
* A duty to act collectively as a Board
Strategy and Performance
Trustees develop the strategy by which the Charity aims to fulfil its purpose, establish clear objectives, deliver agreed plans and review performance against short, medium and long‑term targets. They hold the Chief Executive to account for effective management and delegate where appropriate.
Compliance
Trustees ensure the Charity complies with its governing document, charity law and other applicable legislation, including safeguarding and fundraising requirements, while remaining focused on its charitable objects.
Performance Monitoring
Trustees ensure effective implementation of Board decisions by the Chief Executive and senior management, and maintain a robust system for recruitment, appointment and monitoring of the Chief Executive’s work.
Board Activities
The Board meets four times a year. Trustees must attend all meetings or send apologies in advance and must allow time to read and comment on board papers sent at least a week early. A full strategy day occurs once a year; urgent matters are communicated via email and ratified on the next Board meeting.
Personal Specification
We seek Trustees with experience or expertise in:
* cyber security
* fundraising and income generation
* charity law and regulation
* the third sector
* enterprise and business development
* knowledge of the Birmingham communities served by our four hospitals
Applicants from all community sectors, including those with disabilities, under 40 years old, LGBTQ+, Black, Asian and minority ethnic groups, are encouraged to apply.
Desired characteristics include understanding of the hospitals, commitment to the Charity’s values, business and financial acumen, committee experience, interpersonal communication skills, strategic thinking, independent judgement, and a strong grasp of trustee duties.
Ongoing training and support will be provided for the right candidate.
Terms of Appointment
Trustees are appointed for an initial term of three years, with subsequent three‑year terms agreed. Trustees may serve a maximum of nine years, in line with the Governance Code, unless exceptional circumstances arise.
