Role Overview
We are a specialist group litigation firm seeking a Senior Associate (Corporate) to support the General Counsel on a broad range of corporate, strategic, and transactional matters.
This is a key role within the central legal function, suited to a commercially minded corporate lawyer with 6–7 years’ PQE who is looking to apply their experience in a dynamic, high-growth, claimant-focused environment. You will be a key support to the General Counsel with corporate structuring, governance, transactions, litigation funding arrangements, and partnerships with third parties.
Requirements
Key Responsibilities
Corporate Transactions
* Supporting on corporate structuring across the group, including UK and international entities
Governance
* Supporting the General Counsel in delivering a robust company secretarial function across the group
* Preparing board and committee papers, agendas, and minutes, ensuring accurate record-keeping and follow-up of actions
* Maintaining statutory books, registers, and corporate records across group entities
* Supporting group incorporations, dissolutions, and changes to corporate structure
* Assisting with shareholder communications, resolutions, and governance frameworks
Commercial Contracts & Partnerships
* Draft, review, negotiate and advise on a wide range of commercial contracts relating to the firm’s business operations.
* Provide legal advice on supplier agreements, technology contracts, outsourcing arrangements and other commercial arrangements.
* Advise on regulatory considerations relevant to commercial arrangements (e.g., data protection, procurement, IP, competition considerations).
* Identify legal and commercial risks in proposed agreements and recommend practical solutions.
* Work closely with the Risk Director where contractual issues intersect with regulatory or operational risk.
* Develop and maintain template agreements and internal guidance to support consistent contracting practices across the firm.
* Maintain accurate contract records and support contract lifecycle management.
Stakeholder Management
* Work collaboratively with other internal teams, including Finance, IT, HR and Operations.
* Manage the register of external counsel ensuring cost-effective delivery
* Improve internal corporate legal processes, templates, and knowledge management systems
* Promote a culture of effective risk management and regulatory compliance across the firm.
Skills & Experience
* Qualified solicitor in England & Wales with 6–7 years’ PQE in corporate law
* Strong experience in general corporate advisory work
* Experience drafting and negotiating commercial and transactional documents
* Solid understanding of corporate governance and company secretarial requirements
* Experience supporting boards and senior stakeholders on governance matters is highly desirable
* Exposure to litigation funding, financial structuring, or insurance-backed arrangements is advantageous
* Familiarity with the Solicitors Regulation Authority framework is beneficial
* Strong commercial acumen and ability to balance legal risk with business objectives
* Excellent stakeholder management and communication skills
