Legal Counsel & Assistant Company Secretary

The Role
We are seeking a versatile Legal and Governance professional to join a small, high-performing team. This hybrid role combines generalist legal responsibilities with Assistant Company Secretary duties, offering the chance to work across commercial, compliance, and corporate governance domains. You will provide pragmatic legal advice across the business while ensuring robust governance and regulatory compliance at group level.
Key responsibilities include:
* Drafting, reviewing, and negotiating a wide range of commercial agreements, including supplier, distribution, licensing, and marketing contracts
* Advising on consumer-facing legal matters such as advertising, T&Cs, GDPR, IP protection, and employment issues
* Managing corporate governance and Company Secretarial matters for the Board and Committees, including board packs, minutes, statutory filings, shareholder engagement, and executive remuneration
* Supporting strategic initiatives, corporate structuring, and compliance programs, including anti-bribery, whistleblowing, market abuse, and ESG-related governance
* Partnering with cross-functional teams to embed legal best practices and support risk management initiatives
The Candidate
* Qualified corporate lawyer 2 - 4 years pqe with substantive company secretary/corporate governance experience
* Private practice experience, ideally including a secondment or exposure to a B2C environment
* Strong commercial judgment with experience advising on complex contracts, corporate governance, and compliance matters
* Confident, pragmatic, and collaborative, capable of working with senior stakeholders across commercial and operational teams
* A natural ambassador for the brand, able to communicate positively and represent the company externally
