As the business continues to scale, we’re hiring a Company Secretary to build and establish a strong governance function.
It’s for someone who thrives in fast‑moving environments comfortable translating complex regulation into clear, pragmatic guidance and standing up frameworks that scale, while working at start-up pace.
This role will be 3 days a week in the Central London office (Fenchurch Street being the closest station).
It is a role for someone commercially minded, decisive, and motivated to partner closely with Engineering, Infrastructure, Security, IT, and Commercial.
The role reports to the Group General Counsel.
What you’ll be doing
* Maintain statutory registers, corporate records and minute books across all group entities
* Ensure compliance with company law, constitutional documents and shareholder agreements
* Manage Board, committee and shareholder meeting processes including agendas, packs and minutes
* Coordinate global statutory filings, including annual returns, director changes and share issuances
* Support incorporations, restructurings, financings, joint ventures and M&A transactions
* Maintain the group structure chart and central entity database
* Support governance frameworks including delegated authority and Board terms of reference
* Manage shareholder governance processes, approvals and investor information rights
* Oversee global corporate secretarial providers, registered agents and local counsel
* Promote strong governance discipline and escalate corporate governance risks where appropriate
