Responsibilities
An excellent opportunity has arisen for a Deputy Company Secretary for the Company Secretariat, deputising for the Company Secretary and leading the delivery of high‑quality governance and company secretarial services across the parent CIC and subsidiary companies.
As Deputy Company Secretary you will provide day‑to‑day leadership of the Secretariat function, setting service standards, allocating resources, and assuring the quality and timeliness of agendas, papers, minutes, decisions and action tracking across the governance cycle.
Maintaining the Group's statutory registers and filings (e.g., Companies House) you will coordinate subsidiary governance arrangements, ensuring consistency with constitutional requirements. The role line‑manages Committee Secretary and related support, drives digitisation of governance workflows and provides authoritative procedural guidance to Chairs and senior leaders.
Key elements:-
Act as primary deputy to the Company Secretary, representing the function with senior stakeholders and ensuring continuity of advice and service during periods of absence.
Define and uphold Secretariat standards (formatting, numbering conventions, timeframes, version control) and coach the team to a consistent, professional output.
Oversee end‑to‑end logistics for Board, Board Committees and Executive/Director‑level meetings: forward planning, agenda build, commissioning papers, paper quality control, and timely circulation.
Attend key meetings as required; produce concise, accurate minutes reflecting discussion and decisions, with clear action owners and due dates, issued within agreed timescales.
Prepare concise Chair briefings and procedural notes to enable efficient, compliant meetings.
You will ensure robust Board and Committee administration, statutory company secretarial compliance, and outstanding support to Chairs, Non‑Executive Directors and Executives.
