Job Title: Company Secretary Location: West London Salary: £80,000 - £110,000 per annum Schedule: Monday to Friday Job Description: Company Secretary will play a pivotal role in ensuring legal compliance, corporate governance, and regulatory adherence within the financial services sector. The ideal candidate will possess a deep understanding of legal and regulatory frameworks, coupled with exceptional organisational and communication skills. Responsibilities: Ensure the organisation adheres to all relevant laws, FCA regulations, and industry standards governing the financial services sector. Oversee corporate governance matters, including board meetings, annual general meetings, and compliance with corporate governance codes and best practices. Manage all company secretarial responsibilities, such as maintaining statutory registers, filing annual returns, and ensuring timely submission of regulatory documents. Draft, review, and negotiate contracts and agreements with clients, vendors, and stakeholders to ensure legal compliance and mitigate risks. Identify legal risks and develop strategies to mitigate them, including the implementation of compliance policies and procedures. Act as the primary contact for regulatory authorities, managing inquiries, inspections, and audits effectively. Provide legal advice and guidance to senior management on various issues, including corporate law, regulatory compliance, and contractual matters. Stay updated on changes in legislation, regulations, and industry trends affecting the financial services sector, and provide updates and recommendations to stakeholders. Work closely with internal departments, including finance, risk management, and compliance, to ensure alignment and consistency in legal and regulatory matters. Requirements: Bachelor's degree in law or equivalent. Extensive experience working in a legal or company secretarial role within the financial services sector. In-depth knowledge of financial services regulations and compliance requirements, including specific regulations and local requirements. Strong understanding of corporate governance principles and best practices. Excellent communication and interpersonal skills, with the ability to interact effectively with stakeholders at all levels. Highly organised with excellent attention to detail and the ability to manage multiple priorities in a fast-paced environment. Proficiency in legal research and drafting legal documents. Ability to work independently and collaboratively, demonstrating initiative and a proactive approach to problem-solving
