Company Secretary

I've been instructed by a large privately owned international group seeking a Company Secretary operating across multiple sectors, including real estate, hospitality, logistics, engineering and technology.

Reporting to the Head of Legal, you will lead company secretarial activities for UK entities while supporting governance and compliance initiatives across the wider international group.

Key Responsibilities:

* Manage core company secretarial duties for UK entities
* Prepare board and shareholder documentation and meeting minutes
* Support corporate governance, compliance, and statutory obligations
* Maintain statutory records and oversee entity management systems
* Support audits, restructuring projects, and wider corporate matters
* Lead and coordinate governance standards and continuous improvement initiatives
* Provide support to senior stakeholders, including Boards and non-executive directors
* Oversee group-wide data protection coordination

Your background:

* Degree in Law or related discipline
* Strong company secretarial experience within a large or complex organisation
* CGI/ICSA qualification
* Experience with governance frameworks and company secretarial software
* Excellent organisational, communication, and stakeholder management skills
* High attention to detail and ability to manage confidential matters effectively

Experience supporting corporate restructuring, M&A, or multi-entity international groups would be advantageous.
