Our award winning mental health charity is looking for a Governance lead/Company Secretary. You will be overseeing a variety of governance and administrative issues, driving improvements in procedures and documentation within the Charity.
What difference will you make?
Your help & expertise will help us provide essential, practical support to the CEO, directors and Board ensuring that statutory and regulatory requirements are met for the Charity. They will ensure that statutory and regulatory requirements are met, particularly in relation to charity law, and also with regard to the governance stipulations which form part of funding agreements.
What are we looking for?
Governance lead Skills and Experience Knowledge of governance regulatory environment in which the charity operates including Risk management including business continuity/ disaster recovery planning/ risk registers and risk assessments. Health & safety. Information Governance. Incident reporting. Policy management. Charity Commission and other relevant regulatory guidance. Good IT skills and use of Microsoft Office Experience in Reporting to and working with senior management. Contributing to system / policy improvements. Delivering training/ advice and guidance/ debriefing staff. Business continuity / disaster recovery planning/ Risk assessment. Personal Attributes Strong planning/ organisational skills and ability to prioritise. Ability to work independently and use initiative. Good interpersonal and communication skills. Ability to explain complex information to non-technical colleagues. Able to work as a team member.
What will you be doing?
Ensuring that board procedures are complied with, supporting the chair and helping the board and its committees to function efficiently. Assisting the chair in establishing the policies and processes the board needs in order to function properly. The chair and the Governance lead should periodically review whether the board and the organisation’s governance processes – for example, board and committee evaluation – are fit for purpose, and consider any improvements or initiatives that could strengthen the governance of the organisation. Reporting to the chair on all board governance matters. This does not preclude them also reporting to the chief executive, or other executive directors, in relation to their other executive management responsibilities. Ensuring good information flows within the board and its committees (under direction of the chair) and between senior management and non-executive directors. Facilitating director/board member induction, arranging for the organisation to provide the necessary resources for board training, developing and updating its directors’ knowledge and capabilities. Building relationships of mutual trust with the chair, the trustees, while maintaining the confidence of executive director colleagues. Supporting the review of effectiveness of the organisation’s risk management and internal control systems including financial, operational and compliance controls. To ensure that governance related documentation is updated on a timely basis and is accessible to relevant staff/ volunteer.
