Title: Funds Formation Lawyer

Overview
Our customer, a fast-growing, founder-led legal platform is seeking an experienced Funds Formation Lawyer to join on an interim, ad-hoc basis to support a number of upcoming mandates. This is an excellent opportunity for a lawyer who enjoys flexible consulting work while advising directly on sophisticated fund formation matters.
You will work closely with the founder and legal team, providing practical and commercially focused advice to clients operating within the startup and investment ecosystem.
Key Responsibilities
* Advising on the structuring and formation of private investment funds, including venture capital and other alternative investment structures
* Drafting and reviewing key fund documentation, including LPAs, PPMs, subscription agreements and side letters
* Supporting fund launches, closings and ongoing fund governance matters
* Working directly with startup founders, investors and internal stakeholders to deliver pragmatic legal solutions
* Liaising with external counsel where required on regulatory or specialist matters
* Providing ad-hoc legal support on matters relating to fund operations and management
Candidate Profile
* UK qualified lawyer with strong experience in private funds / funds formation
* Demonstrated experience advising on venture capital, private equity or alternative investment funds
* Comfortable operating in fast-paced, entrepreneurial environments
* Able to work autonomously and flexibly on an ad-hoc consulting basis
* Strong commercial judgement and the ability to work directly with founders and business stakeholders
