Assistant Company Secretary


Maternity contract

Southampton

Hybrid


Role responsibilities:

* Supporting the Company Secretary by attending meetings
* Drafting and/or reviewing minutes and following up on key action points
* Providing timely governance advice when required
* Statutory compliance – responsible for ensuring the maintenance of statutory records and registers for entities
* Ensuring the timely submission of statutory filings including to Companies House and anywhere else required
* Assisting in the production and approval of the Annual Report and Accounts
* Maintain the annual governance and compliance calendar.
* Assisting and advising the Chair, Chief Executive and the Executive Team on company secretarial-related matters.
* Supporting key Company Secretary projects such as a Governance Review and external board evaluation
* Assisting with the Annual General Meeting (AGM) and the delivery of charity and subsidiary company meetings and associated procedural requirements in line with good governance.
* Assisting in the maintenance of governing documents recommending changes as necessary to reflect changing strategic, legal and best practice requirements.


Role requirements:

* Able to start a new role before the start of August 2025
* Qualified Company Secretary (desirable)
* 2+ years of experience in a governance or company secretarial role
