PROPOSED SALARY RANGE: £45,000 - £50,000 depending on relevant skills, knowledge and experience. Plus London Weighting Allowance £5,441. The expected salary range for this role reflects internal benchmarking and external market insights.

PURPOSE OF THE ROLE
The Coporate Governance Manager role will work collaboratively within the Company Secretariat team, engaging with senior stakeholders including members of the BBC Studios Executive Committee, BBC Commercial Board, Statutory Directors, and colleagues across BBC Studios and BBC Public Service. This role is accountable for the effective delivery of key governance and compliance obligations, as well as the management of committees and related processes.

Your Key Responsibilities And Impact
* Collaborate with the Company Secretary to maintain accurate statutory registers using Diligent Entities and ensure regular reviews.
* Support governance processes across a portfolio of high-profile companies.
* Assist with Board and Committee requirements, including the Studios Executive Committee, Strategic Finance Committee, and Operations Committee.
* Lead the annual statutory accounts programme for approximately 160 companies, coordinating with finance, tax, directors, and secretariat teams.
* Manage governance queries by preparing papers, resolutions, and briefing notes.
* Produce a monthly snapshot of the commercial group companies, ensuring that this is accurate and identifies changes since the previous report.
* Oversee quarterly payment practice reporting in partnership with procurement and finance teams.
* Handle statutory and compliance tasks end-to-end, including KYC requests, meeting pack collation, company incorporations, filings, and document notarization/apostille.
Essential Criteria
YOUR SKILLS AND EXPERIENCE:
* Associate member of the Chartered Governance Institute.
* Extensive experience within a company secretariat environment.
* Strong knowledge of statutory compliance and governance requirements.
* Excellent IT proficiency and proven project management capability.
* Skilled in handling confidential and sensitive information with discretion.
* Expertise to adapt to new technology platforms and applications.
Desired But Not Required
* May have previous knowledge of using Diligent Boards or similar, Diligent Entities or similar entity management software.
