Job Overview

The Senior Markets Legal Negotiator - Vice President is a senior level, non‑attorney role, responsible for representing the Legal Function in providing Transaction Management expertise to Citi's businesses and functions. The Transaction Management area is responsible for the negotiation, transaction processes, documentation, and execution of business transactions – working closely with internal clients as well as Sales and Relationship Managers and Citi Product Legal Counsel in negotiating, reviewing and analysing legal documentation for the key businesses we support.

The successful individual will work on drafting and negotiating a broad range of both standard and complex derivatives documentation for primarily the Corporate Social Governance, Local Markets, Limited Risk Distributor, Foreign Exchange and Rates businesses. This role requires a pragmatic, proactive professional with a thorough understanding of the business covered by the team and its products and services, as well as a deep knowledge of the contractual terms and legal implications of Citi's documentation. Excellent communication and diplomacy skills are required as this role advises Citi businesses in discussions on the various contractual provisions, including the risks of modifying or amending such terms.


Responsibilities

* Negotiating and reviewing legal agreements with internal/external customers to reach agreement on the contents of the Bank’s legal documentation, using telephone, electronic negotiation and lock‑in sessions or client meetings as required.
* Maintaining close liaison with internal businesses and London Legal to negotiate legal agreements in the relevant business area, ensuring prioritisation aligns with overall desk goals.
* Interpreting key commercial concepts from a range of trading agreements (Credit Support Annexes, Termination Agreements, Counterparty Guarantees and ancillary documentation) and incorporating them into EMEA‑specific documentation, accounting for regulatory or jurisdictional changes.
* Applying in‑depth knowledge of how associated risks differ by product and documentation and advising Risk and Business accordingly.
* Ensuring compliance with Citi’s internal and regulatory policies, and obtaining necessary risk or business approvals when deviations are required.
* Contributing to process improvements by liaising with internal stakeholders such as Technology, Risk, Client Risk Facilitation, Client Onboarding, Regulatory Reform, Operations and Legal.
* Implementing governance and control checks during the documentation process and proactively identifying and escalating issues.
* Understanding the impact of applicable regulations on the business area and ensuring agreements meet those regulatory requirements.
* Problem‑solving to facilitate solutions that enable technology systems and legal documentation to support client offerings, participating in technology development discussions when solutions are requested or proposed.
* Assisting with knowledge sharing, preparing know‑how manuals, and providing support or training to team members as required.
* Complying with internal and external audit requests, including supplying client documentation and other relevant information within specified timeframes.


Qualifications

* Relevant industry experience, preferably with some experience working in an in‑house legal role within financial services.
* Experience in Transaction Management and/or contractual and documentation negotiation in a large institutional setting.
* Proven record of completing complex documentation within tight deadlines.
* Strong organisational and detail orientation for managing complex documentation.
* Excellent interpersonal and project management skills, with the ability to communicate effectively with senior management.
* Proficient in Microsoft Office: Word, PowerPoint, Excel, Outlook.
* In‑depth knowledge of legal customs and practices.
* Knowledge and understanding of the financial services industry.
* Experience with complex corporate structures including hedge funds, third‑party lenders, special purpose vehicles, mutual funds, etc.


Education

Bachelor’s/University degree or equivalent; Master’s degree preferred.
