Legal Counsel – Commercial Contracts (12 month contract)
EMEA Legal Recruitment has hired multiple legal candidates for this leading reinsurance business which is consistently growing in providing an excellent service in Property, Casualty, Specialty, and Credit reinsurance.
The Role
As Legal Counsel, you will play a critical role in protecting the organisation by ensuring all third-party engagements—including software contracts, renewals, NDAs, and consultancy agreements—meet their legal, regulatory, and operational standards. Reporting to the VP, Senior Legal and Compliance Manager, you will be the legal gatekeeper for commercial relationships, ensuring the business interests are protected across data protection, cybersecurity, and commercial risk.
Key Responsibilities
You will focus on drafting and negotiating a wide variety of commercial agreements and comprehensive legal reviews of software and consultancy agreements (including IR35 and Agency Worker Regulations 2010 compliance). Ensure standard clauses are incorporated while identifying and escalating significant deviations or risks. You will identify and mitigate legal, regulatory, and operational risks within vendor engagements. As part of your role, you will provide pragmatic legal advice to internal relationship owners and stakeholders and collaborate with Subject Matter Experts (SMEs) across the firm to align on technical and security requirements. You will partner with external counsel to refine consultancy template agreements. Most of your work will focus on reviewing and updating Master Services Agreements (MSA’s), Statements of Work (SOW), and NDA templates. You will serve as the primary legal point of contact for vendor management workflows and provide pragmatic, actionable guidance to various business units to facilitate smooth operations.
Required Skills & Experience
Must be a UK Qualified Solicitor/Lawyer with significant experience in commercial contracts and a proven track record of reviewing and negotiating complex vendor contracts. To succeed you’ll need exceptional communication skills with the ability to translate legal complexity into business terms. Candidates with previous experience within Insurance, Reinsurance, or Financial Services and knowledge of UK/International labour regulations (e.g., IR35) would be advantageous.
