A leading digital company is seeking an experienced Company Secretary to oversee governance, compliance, and board administration across its international operations.
This is a key senior role for an experienced governance professional who can advise the Board, ensure compliance with legal and regulatory obligations, and manage core company secretarial functions across multiple jurisdictions.
The Role:
• Coordinate board meetings, prepare agendas, and compile supporting documentation
• Manage director appointments and removals, and provide governance training to new Board members
• Draft and oversee key legal and governance documents, ensuring confidentiality and compliance
• Maintain statutory records and filings in accordance with UK law
• Liaise with external advisers on international governance and compliance matters
Ideal Candidate:
• 9+ years’ experience in a senior company secretarial role
• Qualified lawyer and/or CGI (ICSA) qualified (or equivalent)
• Strong knowledge of UK company law and corporate governance, with international exposure
• Exceptional attention to detail and strong strategic thinking ability
• Confident communicator with a proactive, adaptable approach
• Experience managing statutory filings, corporate compliance, and supporting mergers or restructures
• Familiarity with Diligent Entities is highly desirable
