Collaborate with clients to create and build solutions that drive efficiency, connectivity, and transparency in electronic trading. https://www.dol.gov/ofccp/regs/compliance/posters/pdf/eeopost.pdf Job Responsibilities We are seeking a senior, hands-on Company Secretarial professional to lead our international corporate governance and entity management (i.e. covering the Tradeweb legal entities and activities outside of the US). The role sits at VP/Director level and will act as a key partner to the International General Counsel, boards and senior management, ensuring high standards of governance across a global portfolio of entities in the UK, EU, Middle East, Asia and South America. This is an ideal opportunity for an experienced and hands on Cosec leader, ideally with a financial services or fintech background who is comfortable operating in a fast-paced, regulated environment. Key responsibilities Board & Committee Governance Serve as Assistant Company Secretary to designated UK and international boards/committees. Own the annual governance calendar; prepare agendas, packs and minutes; track actions to completion. Advise Chairs and directors on duties, conflicts, governance standards and best practice. Entity Management (Global excluding US) Help maintain statutory registers and corporate records for the global group with assistance from external providers. Oversee incorporations, reorganisations, capital changes, dividends, intercompany agreements and dissolutions. Coordinate with local counsel and corporate service providers; ensure timely filings in all jurisdictions. Regulatory & Compliance Ensure compliance with the UK Companies Act 2006 and relevant local corporate laws and filing regimes in the jurisdictions in which Tradeweb has legal entities. Partner with Compliance/Legal on regulatory notifications, KYC/UBO, sanctions screening, and director onboarding/offboarding. Support governance aspects of regulatory permissions (e.g. SMCR), licensing and change-in-control notifications as required. Board Effectiveness & Governance Framework Develop/refresh governance policies (Board/Committee terms, Delegations of Authority, Conflicts Registers, Board Evaluations). Implement training for directors and senior leaders on governance responsibilities and emerging requirements. Technology, Controls & Data Own the entity management system and board portal (e.g., Diligent, GEMS). Drive process automation, data integrity and audit readiness (SOX-like controls where applicable). Leadership & Teaming Manage and develop the Assistant Company Secretary; build a scalable operating model with external providers. Foster strong relationships with Finance, Tax, HR, Compliance, Risk, Treasury and regional business leaders. Risk Management Identify and mitigate governance risks; maintain trackers for filings, mandates, authorities, and director independence. Prepare governance MI and reports for senior leadership and regulators as appropriate. Experience & qualifications Essential Chartered Governance Institute UK & Ireland (CGIUKI/ICSA) qualification (ACG/FCG), or equivalent recognised company secretarial qualification. 7 years' progressive company secretarial experience, with significant time at senior level. Demonstrable experience managing boards and a complex portfolio of other international entities (e.g. UK, EU, Middle East, Asia and South America). Expert knowledge of UK Companies Act 2006, corporate governance best practice, and statutory filing requirements. Strong drafting skills (minutes, resolutions, constitutional documents) and meticulous attention to detail. Experience coordinating external counsel and corporate service providers across multiple jurisdictions. Proficiency with entity management systems and board portals. Desirable Proven track record in financial services or fintech industry. Legally qualified (e.g., LLB/Law Society qualified) or comparable legal training. Exposure to regulated-firm governance (PRA/FCA familiarity) and audit/SOX-style controls. Experience with M&A/restructuring, treasury and intercompany governance. Additional languages a plus. Key competencies Sound judgement and the confidence to advise senior stakeholders. Exceptional organisation and delivery focus; able to prioritise across multiple jurisdictions and deadlines. Discretion and integrity; strong stakeholder management and communication skills. Continuous improvement mindset; comfortable implementing tools and scalable processes. People leadership and coaching capabilities.
