Job Description
The Corporate Legal Counsel will report to the Head of M&A and will be the sole in-house counsel for a rapidly growing, private-equity backed RIA.
1. Oversee and manage all legal aspects of mergers and acquisitions, including due diligence and contract negotiations.
2. Draft, review, and negotiate transaction documents such as purchase agreements, joint venture agreements, and confidentiality agreements.
3. Provide strategic legal advice to internal stakeholders on complex M&A transactions.
4. Ensure compliance with applicable laws, regulations, and corporate governance practices.
5. Collaborate with external counsel and consultants as needed to support transactions.
6. Monitor and manage risk associated with M&A activities.
7. Support post-merger integration and address any legal issues that may arise.
8. Stay updated on industry trends and legal developments affecting M&A activities.
9. Work closely with outside counsel.
10. Oversee the work of a paralegal.
