Responsibilities
1. Lead and deliver Investment Trust client engagements.
2. Advise Investment Trust Boards and Investment Managers on requirements,pliance,ernance, and transaction related matters.
3. Help to grow our business through client relationship management activities.
4. Develop subject matter market insights, technical knowledge and service delivery templates, processes, tools, and materials.
5. Support business management and operational matters, including recruitment, resourcing, finance and risk management.
6. Administer the on-boarding of new clients in accordance withpany policies and processes.
7. Attending client andputershare hosted industry events.
8. Collaborate with Finance to manage billing and invoicing for clients, have an awareness of recoverability and work in an efficient manner
9. Keep up to date of both internal and external influences to help shape continuous growth and development of theernance Services business and offering.
10. Mange, mentor and oversee the training and development of junior colleagues in all aspects of Investment Trustpliance andernance, enabling them to develop their career
11. Providing support to Investment Trust Boards andmittees, which will include attendance at meetings in a minute taking and advisory capacity
12. Ensuringpliance with all continuing obligations such as Listing (LRs and DTRs), Regulatory andpany Law requirements andpliance with Market Abuse Regulations (MAR)
13. Organising and managing shareholder meetings including the preparation of all relevant notices and meeting documentation
14. Preparing and filing the relevant statutory filings and regulatory filings panies House, FCA, NSM)
15. Providing advice and guidance on Association of Investmentpanies (AIC) corporateernance code and best practice to a diverse portfolio of Investment Trust clients
16. Drafting and reviewing of the non-financial sections of Annual and Half Year Reports and Accounts ensuring disclosures accurately reflect the client'sernance practices andply with relevant regulations, preparing and filing of relevant submissions and stock exchange announcements on behalf of clients and project managing the process, where appropriate/required
17. Maintaining corporate registers from a regulatory, statutory andernance reporting requirements perspective
18. Preparing, coordinating and releasing regulatory stock exchange announcements using a range of RIS portals
19. Maintenance of insider lists and facilitation of proper management of sensitive information
20. Coordinating board andmittee annual evaluations
21. Monitoring directors' interests and conflicts of interest
22. Liaising with third party advisors such as thepany's registrar, broker, legal advisors
What will you bring to the role?
To be successful as a Manager within our team you will be able to demonstrate an expert technical knowledge of Investment Trusternance,pliance and regulatory requirements in a previouspany secretarial role.
23. Strong technicalpany secretarial knowledge and corporateernance experience.
24. Experience working in a Professional Services environment would be beneficial but is not essential. Many of our team have an in-house background.
25. A history of building client or stakeholder relationships, which will help us to develop theernance Services business.
26. Ability to influence and build effective relationships at all levels with clients and colleagues.
27. Awareness of legal, regulatory andernance trends and developments.
28. Attention to detail and track record of producing high quality work.
29. Experience of managing direct reports would be advantageous but not essential.
30. A Resilient and proactive approach with the ability to take ownership/responsibility for own work and work of others.
31. Effective business, financial and risk management skills, and the ability to think/act strategically andmercially whilst protecting the reputation of thepany.
32. Qualified member of CGI/ICSA.
33. Listedpany or financial services sectorpany secretarial experience.
34. Experience of investment trusts.
