Hybrid Working with 2 days in Preston or Remote with regular travel to Preston, Lancashire, depending on location.
A glance at the role:
We are currently seeking a Governance Lead to advise the LPP and LPPA boards on corporate governance matters, ensuring the entities are compliant with their obligations under company law and regulation. You will act as the primary contact for Board members across the entities and ensure there is an effective internal governance infrastructure within LPP and LPPA.

What you will be doing:
- Governance: Maintain business-appropriate standards of corporate governance for LPPA and LPP by delivering full professional company secretarial services to all stakeholders and the LPPA and LPP Boards in accordance with The Companies Act 2006.
- Ensuring the Company Secretary's records, policies and procedures are maintained and remain effective and proportionate. This includes management of Companies House records.
- Taking a strategic approach to governance issues and ensuring that LPPA and LPP are fully compliant with all relevant applicable legislation.
- Ensure activities meet and integrate with the organisational requirements for quality management, health and safety and environmental policies and comply with the legislative framework within which LPPA operates. This includes maintenance of the policy framework and drafting policies as required.
- Develop and maintain strong relationships with the Board and Executive Leadership Team.
- Facilitate and produce comprehensive records of LPPA & LPP Board and Committee meetings.
- Management of appointment of Directors (Executive and Non-Executive) including providing a full governance service from appointment to the end of their term, where appropriate.
- Managing risks associated with governance activities.
- ELT, Board and committee meeting management including diary management, minuting all formal meetings and electronic uploads.
- Management of governance projects including board effectiveness reviews, and changes in the way board and committee meetings are managed using technology such as electronic board packs.
- Providing input from a governance perspective into the Annual Report and Accounts.
- Reviewing and updating Articles of Association, constitutional documents, schemes of delegations and terms and conditions for NEDs.
- Management of conflicts of interest policies and practices, gifts and hospitality, and board codes of conduct.
- Pre-empting director queries and being the first point of contact for all governance-related queries.
- Leading on-board succession and performance reviews.
- Management Reporting: Preparing clear and timely management information as requested.
- Engagement: Develop and maintain strong relationships with other LPP Group company secretarial teams that have touchpoints with the administration business and provide appropriate advice on governance issues as required. Management of Contract Safe.
- Comply with LPPA’s Data Protection and Information Security policies and any relevant GDPR legislation.

What we need from you:
- A proactive, self-motivated team player who can work independently with minimal supervision, manage a high personal workload with multiple deadlines and continually strive for improvements in quality, efficiency and presentation.
- 2–3 years’ relevant experience, working in a governance role within the public or private sector. ICSA part-qualified desirable.
- Possesses company secretarial experience including work to evolve the effectiveness of internal corporate governance frameworks to best practice standards.
- Strong communication skills to ensure that key information is passed between stakeholders in a professional manner and to build good working relationships within the entities.
- Effective written and verbal communication and competent in drafting Board reports and governance policies/manuals with some support.
- Excellent organisational and minuting skills.
- Excellent level of numerical, analytical, ICT, and report writing skills to assist in the communication of key messages and to facilitate discussions and decisions.
- Started or interested in pursuing a corporate governance qualification.
- Experience of the breadth of the diversity agenda including embedding good practice and an understanding of LPP/LPPA’s and the public sector’s commitment to combating discrimination and promoting equality of opportunity.
- Good analytical skills and the ability to present reasoned and convincing arguments to support and/or challenge a proposal.
