Role Purpose
TheIndependent Non-Executive Director (INED) provides independent oversight, strategic guidance, and constructive challenge to the executive leadership of Conister Bank. INEDs are expected to contribute creatively and objectively to Board discussions, ensuring decisions are made in the best interests of the Bank, its customers, and stakeholders. The role is non-operational and focuses on governance, strategy, and risk oversight across the Bank’s operations in the Isle of Man and the UK.

Strategic Direction
* Contribute to the development and scrutiny of the Bank’s strategic plans.
* Ensure strategies are aligned with regulatory expectations and market realities across jurisdictions.
Monitoring Performance
* Evaluate executive performance against strategic and operational objectives.
* Support succession planning and leadership development to ensure continuity and resilience.
Stakeholder Engagement
* Represent the Bank externally with regulators, investors, and industry bodies.
* Promote and protect the Bank’s reputation and stakeholder relationships in both the Isle of Man and UK.
Governance
* Uphold high standards of corporate governance and ethical conduct.
* Support the Board in applying relevant Corporate Governance Codes.
Risk Oversight
* Provide independent challenge on the Bank’s risk appetite, frameworks, and mitigation strategies.
* Ensure effective oversight of operational, strategic, and regulatory risks.
Compliance & Regulation
* Monitor the Bank’s adherence to applicable laws, regulations, and codes of conduct.
* Support the Board in maintaining a culture of compliance and accountability.
Board Participation
* Attend all scheduled Board meetings in person and relevant committee meetings.
* Actively contribute to Board and committee discussions, offering independent judgment and insight.
* Review and approve the Bank’s annual budget and business plan.
* Uphold the highest standards of integrity, ethics, and legal compliance.
* Disclose any conflicts of interest and adhere to all relevant disclosure obligations.
Essential Skills & Experience
* Banking Expertise: Significant experience in banking, preferably lending in regulated markets.
* Regulatory Knowledge: Familiarity with UK and Isle of Man financial regulations, and compliance frameworks.
* Governance & Risk: Proven ability to oversee governance structures and risk management practices.
* Strategic Insight: Strong commercial acumen and ability to evaluate strategic initiatives.
* Independence & Integrity: Demonstrated ethical conduct, sound judgment, and commitment to the Bank’s mission.
* Leadership: Ability to challenge constructively and support executive leadership.
* Commitment: Willingness to engage actively and contribute to the Bank’s long-term success.
