Title: Trustee, Sussex County Sports Partnership Trust
Eligibility: Willing and eligible to act as a trustee based on the Charity Commission: Declaration of Eligibility and Responsibility and The Fit and Proper Person Test.
Remuneration: These are non-salaried positions. Travel and other reasonable expenses will be reimbursed upon request.
Location: Board of trustee meetings and Active Sussex events may be held throughout the County, but typically meetings are held virtually or at The University of Sussex (Falmer campus). All accessibility needs will be met.
Term of office
Every trustee has an annual review with the Chair. There is a three-year term. After a positive appraisal and a review of skills held relative to those required, the term may be renewed up to a maximum of two times, nine years in total.
Background
Active Sussex is the brand name for Sussex County Sports Partnership Trust (Company number 06166961 and Charity number 1122082). It is an incorporated charity. For the purposes of this document, Sussex County Sports Partnership Trust will be referred to as Active Sussex. The voting members of the Board are both directors and trustees of Active Sussex, and must act within the provisions of the governing document. The Board has overall responsibility for good leadership, management of the activities of the charity and appropriate use of its resources. The overall role of the Board is to ensure good governance, delivery of the objectives of the charity (as set out in the governing document) and to provide strategic leadership to determine its future direction. 6 The trustee role operates at the most senior level of the organisation, shaping the strategic aims, and, hence, the whole of the operations of Active Sussex. The translation of strategy and policy into actions is the responsibility of the senior leadership team (paid staff), under the direction of the CEO.
Nature and Scope
* Leadership: provide effective leadership to Active Sussex, the staff team and key stakeholders.
* Strategic direction: set the strategic direction of Active Sussex.
* Delivery and impact: provide scrutiny and constructive challenge regarding delivery plans, policies, progress and impact.
* Finance: take financial responsibility to safeguard the assets and continuity of Active Sussex and to agree priorities for funding and investment as well as assessing and managing risk, compliance and reporting.
* Governance: ensure compliance with the governing document, best practice and other relevant legislation to protect the values, reputation and integrity of Active Sussex.
* Advocacy and influence: champion and advocate the work of Active Sussex, engaging with and influencing key decision makers and influencers.
* Partnership: ensure strategic relationships and alliances are developed at high levels through effective partnership engagement, transparent communication and relationships.
Principal accountabilities
* To set a strategy and determine the future of the organisation and protect its assets and reputation, giving due consideration to the impact of decisions on Active Sussex’s stakeholders and partners.
* To exercise inclusive leadership and direction and play a key role in the determination and reinforcement of the values (including those relating to EDI) of Active Sussex.
* To provide a creative contribution to the operation of Active Sussex by offering constructive criticism and an independent view, removed from the day-to-day running of the organisation.
* To ensure that Active Sussex fulfils its duty under the regulations of the Charity Commission and Company Law. Ensure compliance with the Code of Governance of Sport England.
* Be an advocate for physical activity in Sussex. Promote and champion Active Sussex’s vision and work within their own sector and its networks.
* To support the recruitment of the CEO and the monitoring of their performance.
* Develop an understanding of the risk appetite of the Board and ensure that there is a practical risk framework in place for identifying and mitigating strategic risks.
* Understand the concept of collective responsibility and exhibit this in their Board discussions.
* Be committed to Nolan's seven principles of public life.
Code of conduct
Commit to a Code of Conduct for trustees, including a commitment to confidentiality. Complete and keep up-to-date the register of Interests.
Time commitment
As an approximation, this works out as 1-2 days a month.
Trustees will be expected to be able to make the following time commitments in order to fulfil their duties:
Induction training (0.5 day)
Four Board meetings annually alternate in person (2-3 hours each)
Four subcommittee meetings annually (2 hours each virtual)
One annual Board away day (0.5 day)
Preparation time for Board and committee meetings
Annual Trustee training and development commitment (up to 4 hours in total some online)
Ideally two Active Sussex events annually
Additional time commitments, which may be necessary to effectively fulfil their specific role on the Board.
