Summary of the Role and Responsibilities
Reporting to the Company Secretary, you will play a key role in supporting the Company Secretary to provide corporate governance and company secretarial support to the Board and Executive Team, ensuring high standards across the LSbp group, including:
1. Leading on the delivery of Board and Committee papers.
2. Accountable for company secretarial services to the Board, including arranging meetings, supporting, and attending meetings, and minute taking.
3. Supporting the Company Secretary and Legal team in re-evaluating and redesigning the governance structure.
4. Leading on strategy and supporting the production of the Group’s Annual Report and Accounts, including governance and reporting inputs.
5. Managing subsidiary governance and relationships with local offices and outsourced providers.
6. Keeping statutory books and records updated (using GEMS).
7. Performing secretarial and compliance tasks, such as filings and conflict of interest management.
8. Implementing corporate projects like simplification, drafting minutes, and resolutions.
9. Handling ad hoc requests like signatory requests, structure charts, certificates, and notarisation.
10. Responding to KYC enquiries regarding directors and shareholders.
11. Monitoring legislative changes and briefing the team accordingly.
12. Developing relationships with internal stakeholders.
Knowledge
* Significant knowledge of UK company law, practice, and governance requirements.
* Experience with UK and overseas entity compliance.
* Strong technical secretarial background.
* Governance knowledge is advantageous.
* Excellent stakeholder management skills.
Experience
* Strong organizational skills and high-quality work delivery.
* Time management skills for working under pressure.
* Flexible, proactive, and responsive attitude.
* Attention to detail, presentation, and communication skills.
* Technical drafting skills and familiarity with secretarial documents.
* Experience with secretarial software (e.g., GEMS, Diligent).
* Proficiency in Microsoft Office.
Qualifications
* Fully ICSA/CGI qualified.
* Minimum of 5 years’ experience supporting UK companies with overseas operations.
* Fluent in written and spoken English.
