Description
The Deputy Company Secretary will report into the Group Company Secretary and assist with the strategic vision of this businesses corporate governance framework.
* Integral to the support of the meeting cycle including taking ownership of the Exec Committee and part responsibility for board.
* Formulating and implementing strategic governance plans.
* Provide advice on governance and company law including compliance with all relevant regulations and standards.
* Supporting a rationalisation project of subsidiaries.
* Driving and fostering a culture of excellence across the organisation.
* Representing the company in high-level negotiations and partnerships.
* Liaising with stakeholders and maintaining strong relationships.
* Enabling corporate transactions, including but not limited to share issuances, capital reductions and dividend payments
* Assisting the corporate lawyer on providing advice on corporate transactions and managing documentation process
* Overseeing Board and Committee effectiveness reviews
* Articles of Association, amendments, and filing
* Continuously monitoring industry trends and adjusting strategies accordingly.
Profile
A successful Deputy Company Secretary should have:
Good academic background with relevant degree (or equivalent qualification)
Company Secretary/Chartered Governance qualification or in the process of training
At least 4-5 years' experience working in the Company Secretarial field
Good knowledge of the Companies Act, corporate governance, and other relevant legislation
