JOB TITLE: Head of Group Secretariat, Entity Management and Optimisation
SALARY: £114,810 - £135,070
LOCATION(S): Bristol, Cardiff, Chester, Edinburgh, Halifax and Leeds
HOURS: Full-time
WORKING PATTERN: Our work style is hybrid, which involves spending at least two days per week, or 40% of our time, at one of our office sites

Leading our newly established Entity Management and Optimisation team within the Corporate Governance team. Reporting to the Corporate Governance Director, responsibilities include leading a team of approximately 14 FTE, with accountability for:
1. setting the standards for Groupwide entity management as well as being responsible for and delivering proportionate, effective and tech-enabled end-to-end corporate governance for a diverse range of Group entities.
2. leading continuous improvement and automation for corporate governance and legal processes.
3. managing governance for the Legal & Secretariat function including robust L&S horizon scanning and colleague training.
4. being responsible for overseeing service provision from key L&S suppliers for entity management and shareholding disclosure services.
5. supporting L&S change activity with a particular focus on using technology and innovation to enhance efficiency and effectiveness.
Key responsibilities will include:
6. Leading a team responsible for the end-to-end corporate governance of Group entities to ensure compliance with internal governance processes, as well as statutory and regulatory requirements.
7. Providing strategic advice to Group entity boards and providing corporate governance support to the relevant chair, directors and executive management.
8. Delivering the Group’s ongoing project to eliminate entities which are no longer required.
9. Supporting the Corporate Governance Director in delivering the Corporate Governance team’s priorities and strategy.
10. Driving efficiency, innovation and process optimisation and automation (including through use of internal and third party technology), in the Corporate Governance team and across L&S.
11. Collaborating closely with L&S Senior Leadership Team to enable and support delivery of L&S strategy and change activity.
12. Leading day-to-day relationship with key L&S suppliers of entity management and shareholding disclosure services with responsibility for holding suppliers to account on service delivery.
13. Leading L&S transformation and technology budget as necessary to maintain and enhance L&S applications and leading the L&S data and digitisation centre of excellence – a key internal capability crucial to delivering L&S strategy.

What you'll need!
We’re looking for an experienced and proactive leader to lead a team of c.14 experienced colleagues with a variety of skills in legal, corporate governance, and innovation and transformation. As member of the Corporate Governance leadership team, you'll:
15. Be a highly motivated and inspiring leader who’ll play a key role in enabling the delivery of first-class, technology enabled:
16. governance and company secretarial services by engaging with and expertly supporting stakeholders to ensure that the Group’s entities meet corporate governance, legal and regulatory requirements; and
17. legal and secretariat processes to support the L&S function in its provision of legal and corporate governance services to the Group.
18. Have a sound understanding of the overall legal and regulatory environment in which the Group operates including the Group’s shareholding disclosure obligations.
19. Be passionate about change with a strong background of implementing initiatives to drive productivity, efficiency and optimise business processes. You’ll have the opportunity to deliver change in CGAO and the wider L&S function.
20. Demonstrate ability to handle high-profile priorities simultaneously and an ability to think in an agile way, and quickly ‘join the dots’ between discrete pieces of information.
21. Be a confident and credible communicator and writer, able to influence and give concise, persuasive advice at the highest level.
22. Be versatile and be able to work at pace.
23. Have excellent people skills and a passion for building relationships and developing colleagues.
