We are searching for a Company Secretarial Assistant for a Global FTSE listed company. The ideal candidate will be a graduate, either CGI qualified or partly qualified, with 1-2 years of relevant work experience.
Requirements include knowledge of the Companies Act, the listed company regime, and the UK Corporate Governance Code. The candidate should possess good written and analytical skills, excellent attention to detail, and strong administration skills, with proficiency in MS Office. Experience with Diligent Entities and Diligent Boards is desirable.
The role involves supporting the Group Secretariat function, working closely with the Group Company Secretary, Deputy Company Secretary, and the Team Assistant.
Key Responsibilities:
1. Assist with statutory compliance work for UK subsidiary companies, ensuring timely filing at Companies House and maintaining corporate records.
2. Maintain the global entity management system (Diligent Entities) and support the production of the Group Structure Chart.
3. Organize and execute corporate documentation resolutions, powers of attorney, and proxies, including notarization or apostilling if necessary.
4. Support administration for PLC Board and Committees, including the use of Diligent Boards.
5. Participate in projects related to acquisitions, disposals, corporate restructuring, and transactions.
6. Assist with year-end processes, including review and signing of UK subsidiary accounts and preparation of the Annual Report & Accounts.
7. Help organize and run the AGM and other general meetings.
8. Support regulatory Stock Exchange announcements as needed.
9. Administer share plans, liaising with the Employee Benefit Trustee.
10. Coordinate with the Group’s registrars and brokers regarding shareholder matters.
11. Handle ad hoc queries from Group companies.
