Responsibilities
1. Support the delivery of listed plc and IPO client engagements.
2. Advise clients on listed plc requirements,pliance,ernance, and transaction related matters.
3. Develop subject matter market insights, technical knowledge and service delivery templates, processes, tools, and materials.
4. Mentor and develop junior team members.
5. Attending client andputershare hosted industry events.
6. Keep up to date of both internal and external influences to help shape continuous growth and development of the EGC business and offering.
7. Training and supporting junior colleagues in all aspects of listedpanypliance andernance, enabling them to develop their career.
8. Providing support to listedpany boards andmittees, which will include attendance at meetings in a minute taking and advisory capacity.
9. Ensuringpliance with all continuing obligations such as Listing Rules and DTRs, Regulatory andpany Law requirements andpliance with Market Abuse Regulations (MAR).
10. Organising and managing shareholder meetings including the preparation of all relevant notices and meeting documentation.
11. Preparing and filing the relevant statutory filings and regulatory filings panies House, FCA, NSM).
12. Preparing, coordinating and releasing regulatory announcements using a range of RIS portals.
13. Providing advice and guidance on corporateernance best practice to a diverse portfolio of listed plc clients.
14. Drafting non-financial sections of Annual and Half Year Reports and Accounts ensuring disclosures accurately reflect the client'sernance practices andply with relevant regulations, preparing and filing of relevant submissions and announcements on behalf of clients and project managing the process, where appropriate/required.
15. Training and supporting junior colleagues in all aspects of listedpanypliance andernance, enabling them to develop their career.
16. Maintaining corporate registers from a regulatory, statutory andernance reporting requirements perspective.
17. Maintenance of insider lists and facilitation of proper management of sensitive information.
18. Coordinating board andmittee annual evaluations.
19. Monitoring directors' interests and conflicts of interest.
20. Liaising with third party advisors such as the client's registrar, broker and legal advisors.
What will you bring to the role?
To be successful as a Senior Consultant within our team you will have at least three years of previouspany secretarial and corporateernance experience within professional services or industry, ideally within or for listedpanies.
21. Goodpany secretarial knowledge and corporateernance experience and a willingness to learn and try new things and work both independently and as part of a team.
22. Experience working in a Professional Services environment would be beneficial but is not essential. Many of our team have an in-house background.
23. Strong people, team working andmunication skills.
24. Experienced at building effective working relationships at all levels with clients and colleagues.
25. Organised with strong project management skills.
26. Awareness of legal, regulatory andernance trends and developments.
27. An eye for detail and experienced at delivering to tight deadlines.
28. Strong written English, numeracy, analytical andprehension skills.
29. Resilient andposed under pressure, proactive, self-motivated, take ownership/responsibility for own work.
30. Advanced IT skills (incl. Microsoft Word, PowerPoint and Excel) and experience of using legal entity management technology.
31. Qualified or pursuing CGI qualification .
