The opportunity
EY's Transaction Forensics - Sale and Purchase Agreements (SPA) team provides expert support to clients, investment banks, lawyers, and deal teams on Mergers and Acquisitions (M&A) pricing mechanisms and the accounting aspects of SPAs, including post-deal Completion Accounts. You will assist in SPA negotiations and interact with deal teams and clients throughout the transaction lifecycle.
Your key responsibilities
* Collaborate with clients, their bankers, legal advisers, transaction diligence teams, and guide other SPA team members on advice related to price adjustment mechanisms in M&A transactions. Tasks include analyzing cash, debt, and working capital adjustments, preparing pricing schedules, reviewing financial aspects of the SPA, assisting with Completion Accounts, and performing Leakage reviews.
* Support and contribute to the delivery of Transaction Forensics engagements within agreed timelines and budgets.
* Adhere to Quality and Risk Management (QRM) standards to ensure consistent and compliant client work.
* Provide insightful, deal-relevant advice to clients by leveraging your technical and commercial expertise.
* Build and maintain valued relationships with internal contacts and external clients to develop your project portfolio, focusing on high-value opportunities.
* Support negotiations with clients throughout transactions, delivering detailed and compelling outputs.
Skills and attributes for success
You should communicate clearly with clients and advisors, confidently deliver high-quality presentations, and demonstrate strong interpersonal and risk management skills. To qualify for the role, you must have
* Fully qualified as a chartered accountant (e.g., ACA / ACCA / CA / ICAS / ICAEW or international equivalent)
* Experience managing M&A transactions at a managerial level
* Expertise in analyzing financial information, including modeling, scenario testing, and documentation
* Commercial awareness and eagerness to learn industry knowledge
* Project and people management experience
Ideally, you'll also have
* An application and solution-based approach to problem-solving
* Strong negotiation skills, capable of analyzing opposing cases and advising on strategies
* The ability to handle multiple pressing assignments and sensitive situations simultaneously
