Job Description
* Advise clients on private equity transactions, including mergers, acquisitions, and investments.
* Draft, review, and negotiate complex legal documentation related to private equity deals.
* Conduct due diligence and risk assessments for transactions.
* Provide legal support and guidance to ensure compliance with relevant regulations and laws.
* Collaborate with cross‑functional teams to achieve client objectives effectively.
* Maintain strong client relationships and provide strategic legal advice.
* Stay updated on industry trends and regulatory changes affecting private equity transactions.
* Support business development initiatives by contributing to legal strategies and client presentations.

The Successful Applicant
A successful candidate should have:
* Juris Doctor from an accredited law school and admission in good standing in Massachusetts.
* 3-5 years\' experience advising private equity clients on transactions within a major law firm.
* Strong background representing private equity sponsors and strategic investors.
* Deep understanding of corporate governance and securities compliance.
* Skilled in drafting, negotiating, and legal analysis.
* Comfortable working with legal AI tools to manage corporate transactions efficiently.
* Able to self‑manage, prioritize, and operate effectively under tight timelines.
