The Opportunity:
Are you a detail-oriented legal professional with a passion for drafting and a sharp eye for technical detail? We are seeking an experienced Corporate Fee Earner (2-4 Years PQE) to join our dynamic team. If you thrive in a fast-paced environment and excel in handling complex corporate transactions, we want to hear from you!
You will be advising on a broad range of corporate matters including share sales and purchases, corporate restructurings, company option schemes, and shareholders’ agreements. You’ll also benefit from the opportunity to work with a strong and growing client base, with particular exposure to the financial services and accountancy sector, where we have built deep relationships and sector-specific expertise.
Key Responsibilities:
* Play a key role in mergers and acquisitions, working alongside partners and senior solicitors, and leading on transactions where appropriate.
* Support asset purchase and sale transactions by drafting ancillary documents and facilitating progress throughout the deal lifecycle.
* Assist with business disposals by completing due diligence responses and preparing supporting documentation.
* Conduct and oversee comprehensive legal due diligence processes.
* Draft and review share purchase agreements, disclosure letters, and related documents.
* Handle completion and post-completion matters.
* Advise on shareholder arrangements, company reorganisations, and employee share schemes.
What We’re Looking For:
* Strong technical drafting skills with exceptional attention to detail.
* Proven experience in corporate and commercial law.
* Familiarity with corporate matters in the financial services and accountancy sectors is highly desirable.
* A proactive, solution-focused mindset and a collaborative working style.
