Role purpose
We have an interesting and exciting maternity cover opportunity for a Legal Counsel to support the club's corporate legal team on a 12 fixed-term basis with the management of the club's corporate legal affairs.
Over the course of the next 12 months, the team will be responsible for delivering a significant programme of work that will reduce the number of active insurance companies in the NorthStandard Group and create a more efficient corporate structure to support the club's future operations and strategic growth. Key projects planned for the next 12 months include court-based insurance business transfer processes in the UK, Singapore and Hong Kong.
The remit of this role will also focus on Data Protection ensuring the organisation complies with global privacy laws, maintaining privacy policies and advising on data use across the business.
What will you be doing?
Joining the existing legal team of 3 solicitors (with 1 going on maternity leave), key responsibilities will include:
To support the day-to-day operation of the corporate legal function of the club.
To provide legal guidance on data protection across the club.
To provide legal advice and support on matters arising from the club's activities.
To provide legal and regulatory advice to the various functions and senior management of the club in support of its corporate affairs and activities.
To provide legal advice and support in relation to the preparation/ negotiation of commercial contracts (with third parties and intragroup) to which relevant legal entities forming part of the club are or will be party. To assist with the implementation of effective contract management for the club.
To support on a wide range of functional activities (including marketing, information security, data security and analytics and procurement contracts).
To provide (together with the club's assurance functions) advice, assistance, and support to ensure that the club conducts its activities in a manner compliant with applicable laws and regulations in the jurisdictions in which it operates.
To provide legal advice and support in relation to corporate projects, initiatives, and commercial opportunities being pursued by the club.
Working closely with the Corporate Counsel on the portfolio transfers across the UK, Singapore and Hong Kong and to subsequently deauthorise the respective legacy entities in the Group.
To contribute relevant legal know-how, templates, and other materials.
About you
Skills/Qualifications/Experience
Essential
Qualified solicitor (minimum 5+ years PQE).
Experience gained in a law firm, or in-house at a financial/insurance institution, public body, or other private company.
Experience in data protection laws and data use across businesses.
Desirable
General commercial contract and corporate transactional legal experience, ideally within the insurance/ financial services sector.
Contractual, including drafting and negotiating management, outsourcing and other agreements to provide services, reinsurance agreements, agreements with brokers and correspondents and intra-group agreements.
Regulatory, familiarity with the regulations relevant to international insurers and experience of advising on regulatory matters.
Participating in and/or managing legal aspects of projects.
Knowledge and experience of the club's business operations, processes and procedures.
