Assistant Company Secretary

Working hours: This role is available on a part-time, job-share or full-time basis

Salary: £55-65k depending on experience plus an excellent benefits package

Location: Swindon or London

The opportunity:

We are seeking an agile and detail-oriented Assistant Company Secretary to join our UK Corporate Governance & Company Secretariat team. You will play a pivotal role in upholding the highest standards of corporate governance and will act as a vital bridge between directors and executive management and the business.

This role is not just about statutory compliance; it is an opportunity to influence our governance frameworks, support our Independent Non-Executive Directors, and ensure a culture of continuous improvement and innovation.

What will you be doing?

1. Provision of company secretarial assistance to the Life Assurance Board, and more widely as needed
2. Support the operations of other UK boards, board committees and management committees
3. Reviewing and managing constitutional documentation, preparing agendas, meeting packs, minutes, action lists and ensuring papers prepared by the function and from the wider business are of a high quality and adhere to in house principles
4. Managing statutory filings on behalf of UK companies, including confirmation statements, financial statements, and changes of registered office address
5. Leading on annual processes to support the operations of the team and wider business
6. Identification, assessment and leading implementation of regulatory and legislative changes, as well as those relating to Group Governance arrangements
7. Ensuring best practice corporate governance principles are implemented in all day to day activities
8. Supporting the team’s delivery of Corporate Governance projects
9. Identifying ways to improve efficiency and effective delivery of the department’s responsibilities through implementing key infrastructure to support the team and the wider business
10. Supporting the teams management and oversight of the use of Board Intelligence by the wider business
11. Undertake entity management utilising Diligent Entities
12. Engagement with stakeholders across UK locations, predominantly at Swindon and London offices, with occasional interactions with teams in Ireland.

What are we looking for?

13. Qualified (ICSA/CGI) Chartered Secretary/Governance Professional or an equivalent level of professional qualification and experience
14. Educated to degree level
15. Knowledge and experience of company secretarial work, particularly board and committee support
16. Experience of common corporate governance frameworks
17. Knowledge of underlying legislation and its application to practical situations
18. Experience using entity management and board portal software
19. Able to manage relationships at all levels of the business to influence the achievement of good commercial and governance outcomes
20. Flexible and adaptable personal style
21. Organised, pragmatic and able to effectively manage shifting priorities
