Focus: You will support and enhance the Governance team to offer professional, independent advice, oversight and challenge; to ensure that the company and employees comply with governance codes, legal and regulatory obligations, statutory reporting, rules, regulations and codes of ethics.Optimise governance standards, identify, pre-empt and help to mitigate risks and apply best-practice continually.You and the team will manage the annual Board and sub-committee meeting cycle, which are schedule for a lengthy period in advance. This includes organise meetings, prepare agenda, collate and distribute papers, monitor and progress actions, and manage and maintain records, papers, minutes. This is a core aspect of the role. Prepare Corporate Governance and s172 Statements, ensure all Companies House filings are submitted e.g. director appointments, and resignations.Assist in the management of all legal, regulatory and governance aspects of the process for the resignation, appointment and reappointment of Directors and support the delivery of the induction programme for new directors.Provide support to senior-level stakeholders and heads of departments on matters relevant to the Audit and Risk Committees taking into account all relevant laws, regulation, guidance and governance principles and best practice e.g. PRA and CFA.You will also partake and lead on specific projects on behalf of c-level executives or the board which will require sensitivity and professionalism but they play a vital impact on the company. Suitability: With the longer-term career elevation on offer, the organisation is keen to identify the right person with the right attitude and commitment to governance. You may offer some expertise and experience or perhaps are at the infancy of your career and keen to develop and flourish as a subject matter expert. It is useful if you have a Chartered Secretarial qualification or perhaps are obtaining further qualifications in governance.This role may suit a range of people with practical governance and compliance backgrounds e.g. qualified professional who is keen to focus on governance niche (e.g. from a legal, finance or audit background). Or you are operating as a cosec in a consultancy and wish to move in-house.The background and quals are important, but for this organisation, its about getting the right attitude and aptitude who will work over a longer timeframe. Ideally, you will offer knowledge and understanding of (corporate) governance and best-practice standards, but the organisation will support further development and experience.
