Responsibilities



Pre-Deal (Due Diligence and Structuring)
1. Manage HR due diligence for transactions, identifying people-related risks and opportunities.
2. Analyse employment terms, organisational structures,pensation, pensions, and legal risks.
3. Deliver structured HR Due Diligence reports with risk assessments and rmendations.
4. Collaborate with legal counsel to assess TUPE applicability and obligations.
5. Provide HR input into deal terms, indemnities, and transition service agreements (TSAs).

Deal Execution and TUPE
6. Lead all HR aspects of Day 1 planning and execution.
7. Manage the full TUPE lifecycle, including consultations and post-transfer measures.
8. Draft employeemunications and engage with employee representatives as needed.

Post-Deal Integration / Separation
9. Define and implement people integration or separation plans aligned with business goals.
10. Work with key stakeholders and HR colleagues to manage organisation design and harmonisation of employment terms and policies.
11. Partner with Reward and Payroll teams to ensure systems readiness and data accuracy.

Change Management
12. Support onboarding and cultural integration of acquired teams.
13. Identify retention risks and early engagement opportunities.
14. Collaborate withmunications to deliver effective change messaging.

Strategic and Operational Partnership
15. Act as a trusted advisor to senior stakeholders on people-related M&A risks and readiness.
16. Build HR playbooks and frameworks for repeatable M&A execution.
17. Monitor and report on HR milestones, risks, and post-deal performance metrics.

Employee Relations and BAU Support
18. Manage employee relations (ER) cases in collaboration with the HR Policy, Employment, and HR Services team.
19. Support HR processes and general business-as-usual (BAU) activity during quieter periods between deals.
20. Ensure consistent application of HR policies and procedures across the business.

Key Skills & Experience

Education
21. Degree in Human Resources, Business, Law, or a related field.
22. CIPD Level 7 or equivalent (highly desirable).

Experience
23. Proven experience in HR generalist or business partner roles, including:
24. Employment Law, M&A, Restructuring, or HR Transformation.
25. Leading HR workstreams in UK-based M&A activity.
26. Managing inbound and outbound TUPE transfers.
27. Experience in professional services, consultancy, private equity or partnership-based environments (preferred).
28. Strong Microsoft Office skills are essential.

Technical and Analytical
29. Strong knowledge of UK employment law and TUPE regulations.
30. Advanced data analysis and reporting skills.
31. Skilled in HR due diligence reporting and people risk assessment.
32. High discretion and integrity when handling sensitive data.

Project and Stakeholder Management
33. Highly organised with strong project management capabilities.
34. Able to manage multiple concurrent projects.
35. Exceptional stakeholder engagement and influencing skills at senior levels.
